Terms of Service

Eligibility

By using this Application, you confirm you meet the following requirements:

• Minors may only use this Application under parental or adult supervision;
• You aren't located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist-supporting" country, or listed on any sanctions list maintained by the Government of Canada under the Special Economic Measures Act;
• You aren't listed on any U.S. Government list of prohibited or restricted parties.

Your Account and Security

To use the Service, you may register or create a User account, providing all required data or information in a complete and truthful manner. For this reason, Users are also required to choose passwords that meet the highest standards of strength permitted by this Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You are required to immediately and unambiguously inform support@orange-tree.org, if you think your personal information, including but not limited to your account, access credentials or personal data, have been violated, unduly disclosed or stolen.

Conditions for account registration

Registration of User accounts on this Application is subject to the conditions outlined below. By registering, Users agree to meet such conditions.

• Accounts registered by bots or any other automated methods are not permitted.

What the Service Does

The Service helps you organize recipes by allowing you to:

• Save recipe URLs (links to third-party recipe sites)
• Save recipes you enter manually (including full recipe text)
• Attempt to extract ("scrape") ingredients and related data from recipe URLs to generate shopping lists and other features

Links to Third-Party Websites

When you save a recipe URL, the Service may show a link preview and allow you to click through to the third-party site. Third-party sites are not controlled by Orange Tree. We are not responsible for their content, availability, or policies. Your use of third-party sites is at your own risk.

Your Content (User Content) and Permissions

"User Content" means anything you submit or store through the Service, including recipe text you paste, notes, tags, and saved URLs.

You retain ownership of your User Content. By submitting User Content, you grant Orange Tree a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify (for formatting and feature operation), and display your User Content solely to:

• Provide and maintain the Service
• Enable features you use (including ingredient parsing and shopping lists)
• Improve and secure the Service (e.g., preventing abuse, troubleshooting)

You represent and warrant that:

• You own your User Content or have the necessary rights/permissions to submit it
• Your User Content does not infringe intellectual property rights or violate any laws
• Your User Content does not contain malware or harmful code

Copyright and Content Rules

You may save or paste recipe content only if you have the right to do so. Many recipes online are protected by copyright.

We don't endorse infringement. Orange Tree may remove User Content and/or suspend accounts if we believe content infringes intellectual property rights or violates these Terms.

Notice-and-Takedown Process

If you believe content in the Service infringes your copyright, contact us at support@orange-tree.org with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the material to be removed (include screenshots and/or exact location details)
• Your contact info (name, email, phone)
• A statement that you have a good-faith belief the use is not authorized
• A statement that the information is accurate

We may request additional information before removing content and may notify the user who posted the content where appropriate.

Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Copy, scrape, probe, or scan the Service in a way that could harm or overload it (including automated scripts not authorized by us)
• Attempt to bypass paywalls, access controls, or security
• Reverse engineer or attempt to obtain source code (except to the extent permitted by law)
• Upload, post, e-mail, transmit, distribute or otherwise publish any message, information, text or other material ("Material") that may be considered to be unlawful, harmful, libelous, tortious, defamatory, obscene, vulgar, pornographic, indecent, lewd, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, hateful, or racially, ethnically or otherwise objectionable
• Upload or transmit any Material that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national, or international law, including, without limitation, the regulations of the U.S. Securities and Exchange Commission, any rules of any securities exchange such as the New York Stock Exchange, the American Stock Exchange, or the NASDAQ
• Upload, e-mail, transmit, or otherwise make available any Material that might infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary right of any party
• Impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity
• Without Weekly Dinner Recipes' written permission, distribute, publish, or make available any unsolicited or unauthorized promotions, advertising or solicitations for funds, goods or services, including junk mail, spam, and chain letters
• Harm minors in any way
• Upload, post, e-mail, transmit, or otherwise make available any Material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment

Ingredient Extraction / Scraping

When you save a URL, you are directing us to retrieve and process content from that third-party site on your behalf for the limited purpose of powering Service features (such as ingredient extraction and shopping lists).

You acknowledge:

• Extraction results may be wrong, incomplete, or unavailable
• Third-party websites may block extraction or change their structure, which can break features
• You are responsible for ensuring your use of third-party content is permitted

Changes to the Service and Features

We may modify, suspend, or discontinue parts of the Service at any time (including features, free-tier limits, and supported recipe sources).

Feedback

If you submit feedback or suggestions, you grant us the right to use it without restriction or compensation.

Intellectual Property

The Service and its underlying software, design, branding, and content (excluding User Content) are owned by Orange Tree or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service except as allowed by these Terms.

Disclaimers

THIS WEB SITE AND THE CONTENT AVAILABLE ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND YOU AGREE USE OF THIS SERVICE AND/OR ITS CONTENT IS AT YOUR SOLE RISK. ORANGE TREE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. Limitation of Liability

IN NO EVENT SHALL ORANGE TREE OR ITS AFFILIATES, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF, OR INABILITY TO USE, THIS WEB SITE OR CONTENT CONTAINED ON, OR ACCESSED THROUGH, THIS WEB SITE, EVEN IF ORANGE TREE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the fullest extent permitted by law, Orange Tree's total liability for any claim related to the Service will not exceed the greater of:

• the amounts you paid to Orange Tree for the Service in the 12 months before the event giving rise to the claim, or
• CAD $100

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above might not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Orange Tree, its affiliates, and all of their officers, directors, agents, suppliers, and licensors from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of the Service or any Materials or Submissions (including pasted recipes) you provide, including, but not limited to, any claim by a third party that any Materials or Submissions infringe or violate such third party's rights or interests.

Termination

You may stop using the Service at any time.

We may suspend or terminate your access if we reasonably believe you violated these Terms or if necessary to protect the Service, users, or third parties. Upon termination, your right to use the Service ends. We may delete your account and User Content in accordance with our data retention practices and applicable law.

The suspension or deletion of User accounts shall not entitle you to any claims for compensation, damages or reimbursement.

The suspension or deletion of accounts due to causes attributable to the you do not exempt you from paying any applicable fees or prices.

Governing Law

These Terms are governed by the laws of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.

Subscription Service

Some features of or services provided through the Web site require a fee-based subscription (all fee-based subscriptions are referred to as "Subscription Services"). If you elect to purchase Subscription Services you understand that your subscription is personal to you and the members of your household, and you may not transfer or make available your account name and password to others, including without limitation your co-workers. Any distribution by you of your account name and password may result in cancellation of your subscription without refund and in additional charges based on unauthorized use. Subscription Services may change, without prior notice. From time to time we may offer certain special promotions or offers (such as free premiums with purchase, or product discounts, etc) associated with our products ("special premiums"). Shipment of such special premiums may take 6-12 weeks for delivery. Weekly Dinner Recipes reserves the right to charge shipping fees associated with these special premiums/products. Any and all promotions and/or offers, including those for special premiums may be discontinued at any time, without prior notice at our discretion and are only available while supplies last or for the duration noted.

Canceling Subscription Services

You may terminate Subscription Services at any time through your account settings (if available) or by emailing support@orange-tree.org. Cancellation stops future renewals and access typically continues until the end of the current paid term. If you have a dispute with us relating to the Service or the Subscription Services, you may cancel the Subscription Services. The cancellation of Subscription Services is your only remedy with respect to any such dispute that you may have with us. Please remember that if we determine, in our sole discretion, that you are not complying with any terms of conditions in this Notice, the Privacy Policy, or other terms and conditions on our Web site, we reserve the right to terminate your Subscription Services. Upon any termination or cancellation of your Subscription Services, we may immediately deactivate or delete your subscription service related features and content.

Payment

All prices for Subscription Services are quoted in Canadian Dollars (CAD) and exclude applicable taxes and service charges unless otherwise stated. Upon successful authorization of your payment, you will receive immediate access to the Subscription Services. By purchasing, you agree to pay all applicable fees and taxes using a valid payment method accepted by the Service. We reserve the right to change our fees or institute new charges upon prior notice, with such changes taking effect at the end of your current billing cycle. All authorized charges will be billed to your designated payment method according to the terms of your specific offer. If a payment cannot be processed or is returned for any reason, we reserve the right to suspend or terminate your access to the Subscription Services immediately. Except where required by law (such as for residents of certain provinces or states), all fees are non-refundable, and we do not provide credits for partial billing periods. If you believe you have been charged in error, you must contact support@orange-tree.org within 30 days of the charge date to be eligible for a billing review.

Confidentiality

Our collection and use of personal information is described in our Privacy Policy.

Limitation on Liability

Weekly Dinner Recipes is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or redemption to be received by Weekly Dinner Recipes on account of technical problems or traffic congestion online or on the Internet or at any web site, or any combination thereof including any injury or damage to entrant's or any other person's computer related to or resulting from downloading any materials consistent with this Trial or subsequent use of Weekly Dinner Recipes. If, for any reason, the Trial offer is not capable of running online as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Weekly Dinner Recipes which threatens or corrupts or adversely affects the administration, security, fairness, integrity or proper conduct of this Trial offer, Weekly Dinner Recipes, reserves the right, in its sole discretion, to cancel, terminate or suspend the offer and/or any Trials. CAUTION: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SUBSCRIPTION OFFER, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, WEEKLYDINNERRECIPES.COM WILL DISQUALIFY YOUR ATTEMPTED REDEMPTION AND RESERVES THE RIGHT TO SEEK DAMAGES FROM YOU TO THE FULLEST EXTENT PERMITTED BY LAW.

Renewal Program

Weekly Dinner Recipes will notify you prior to automatically renewing your subscription on the anniversary of your purchase. Weekly Dinner Recipes will charge your credit card at the then-current renewal rate using the credit card information registered to your Stripe account. Please contact the Weekly Dinner Recipes at support@orange-tree.org or visit your account page to cancel your subscription or change your payment method.
